Automated Trading Agent Terms

1. Who We Are; Agreement to These Terms

These terms are an agreement between you and yRobot LLC, a Florida limited liability company ("yRobot," "we," or "us"). They govern your use of the automated trading agent feature (the "Agent") available on yrobot.us. They supplement our general Terms of Use and Service; if the two conflict with respect to the Agent, these terms control. You accept these terms by checking the acceptance box when you arm live trading. If you do not agree, do not arm live trading.

2. What the Agent Is, and What It Is Not

The Agent is a software tool. It reads market data and your brokerage portfolio, applies the configuration you choose (tickers, screens, entry and exit rules, risk limits, and schedule), and can prepare and submit orders in your brokerage account. The Agent may use artificial intelligence models to analyze data and select trades within your configuration. yRobot LLC is not a registered investment adviser or broker-dealer with the Securities and Exchange Commission, any state securities regulator, or FINRA. No fiduciary, advisory, or agency relationship is created by your use of the Agent. Nothing on the platform is a recommendation that any security, strategy, or configuration is suitable for you. The Agent's output is not investment advice.

Paper (simulated) mode: on free plans, and whenever live trading is not armed, the Agent runs against a simulated account with a synthetic starting balance. No brokerage connection is used and no real orders are placed. Simulated results are hypothetical, price against delayed data, exclude fees and slippage, and do not represent actual trading or predict future results.

3. You Are in Control

The Agent acts only within the configuration you set. You choose the universe of stocks, the rules, the risk limits, and the schedule. You arm and disarm live trading, and every new connection starts in practice mode. You can pause the Agent at any time, and you should monitor its activity regularly. You are solely responsible for your configuration and for every order placed through it.

4. Your Brokerage Account

Orders are placed in your own account at your brokerage (currently Robinhood) using access that you authorize. yRobot LLC is not affiliated with Robinhood Markets, Inc. or its subsidiaries, and your brokerage agreement governs your account. We never take custody of your funds or securities. You may revoke the Agent's access to your brokerage account at any time.

5. Automated System and AI Risks

Software can malfunction. Market data can be delayed, incomplete, or wrong. Orders can fail, execute late, or execute at prices different from those expected. Outputs of artificial intelligence models are probabilistic, and the Agent can act in ways you did not anticipate, including within your configured limits. Risk limits are enforced in software and can fail. Internet, brokerage, or service outages can prevent the Agent from acting, including preventing it from exiting a position. You accept these risks when you arm live trading.

6. Market Risk; No Performance Guarantee

Trading stocks involves risk of loss, including loss of your entire investment. Backtested and simulated results shown anywhere on the platform are hypothetical: they are produced by mechanical simulation, exclude fees and slippage, benefit from hindsight, and do not represent actual trading. Past performance, whether real or simulated, does not predict future results. We make no promise of profit.

7. Eligibility

You must be at least 18 years old, a resident of the United States, and the lawful owner of the connected brokerage account.

8. Fees

Access to the Agent is included in your flat subscription. We do not charge commissions, per-trade fees, or fees based on the value of assets in your account, and we do not receive compensation tied to your trades or order flow.

9. Acceptance Records; Electronic Consent

These terms are versioned. When you accept them, we record the version, your account identifier, the time, and connection details, and we keep logs of Agent runs and orders. You consent to transact electronically and agree that your electronic acceptance has the same force as a written signature. If we change these terms materially, you must accept the new version before arming live trading again.

10. Suspension and Termination

We may pause, limit, or terminate the Agent at any time, for any reason, including safety, maintenance, legal, or regulatory concerns, without liability for trades not placed while it is unavailable. Open positions remain yours in your brokerage account.

11. Disclaimer of Warranties

The Agent is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, yRobot LLC and its members, officers, and employees are not liable for indirect, incidental, special, consequential, or punitive damages, or for trading losses, lost profits, or lost data arising from the Agent. To the fullest extent permitted by law, our total liability for all claims relating to the Agent is limited to the amount you paid us in subscription fees during the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, and nothing waives rights you hold under federal or state securities laws that cannot be waived by contract.

13. Indemnification

You agree to indemnify and hold yRobot LLC and its members, officers, and employees harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these terms or misuse of the Agent, except to the extent caused by our own violation of law.

14. Arbitration; Class Action Waiver

Any dispute arising out of or relating to these terms or the Agent will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Brevard County, Florida, or remotely by video at your election. YOU AND YROBOT LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING. Either party may instead bring an individual claim in small claims court. You may opt out of this arbitration section by emailing support@yrobot.us within 30 days of first accepting these terms.

15. Governing Law

These terms are governed by the laws of the State of Florida, without regard to conflict of law rules, and by applicable federal law.

16. Changes; Severability; Entire Agreement

Material changes take effect for you when you accept the new version. If any part of these terms is found unenforceable, the rest remains in effect. These terms, together with the general Terms of Use and Service, are the entire agreement about the Agent. Sections 9 through 15 survive termination.
